What will a UK subsidiary cost to set up and run?

Government fees, our fixed fees and the taxes the company will pay — itemised for the first year from a few choices. Prices are the ones on our pricing page; nothing is estimated except the tax.

2025/26 rates. Corporation tax 19–25% with limits divided by group companies + 1; employer NI 15% above £5,000 with £10,500 Employment Allowance once per group; pension 3% of qualifying earnings. VAT is collected from customers and not counted as a cost. Audit fee is a typical range from an independent registered auditor, not our fee. Excludes salaries, premises, insurance and disbursements.

How the estimate is built

Set-up is our Launch package at £1,950 plus the £50 Companies House fee, or the dormant package if the company will not trade. Running costs are the Establish package (from £750 a month) or Embedded (from £1,500 a month) with payroll at £95 a month for up to three staff and £50 a month per additional three, plus the customs and EORI set-up for importers and an intercompany agreement for service subsidiaries. Tax is corporation tax on the profit you enter, using the associated-companies rule, and employer National Insurance and pension on the salaries. Audit appears only if the worldwide group is not small.

It is an estimate, and it is deliberately conservative on tax. The fixed quote we send is not an estimate. What a UK subsidiary actually costs walks through the same numbers in prose.
